Populi Pay Terms

Date of Last Revision: October 9, 2026

These Populi Pay Terms supplement the Populi Customer Terms of Service (the "Terms") and apply to the School’s use of Populi Pay. The School accepts them by using Populi Pay. Where they conflict with the Terms, these prevail for Populi Pay.

1. The Processor

Populi Pay is provided through a licensed third-party payment processor (the "Processor"). To use it the School must complete the Processor’s onboarding and accept the Processor’s terms, which govern the School’s relationship with the Processor and may be changed by the Processor. Populi may change Processors. Populi is not a bank and does not hold the School’s funds; funds are held and paid out by the Processor. A breach of the Processor’s terms is a breach of these terms.

2. Fees

The Populi Pay processing fees that apply to the School are shown on its Populi Pay gateway settings page in the Services, and the fee in effect when a payment is made is the fee for that payment. When it enables Populi Pay, the School chooses whether (a) the School pays the processing fees or (b) the payer does. The choice applies to all of the School’s payments:

  • (a) School pays. Populi’s fee is deducted from each payment before it is credited to the School. Rates may vary by payment method. The School may add its own service fee to card, ACH or Pay by Bank payments. That fee is credited to the School; Populi’s fee is charged on the full amount, service fee included. The School is responsible for disclosing its service fee to payers and for keeping it within the law and card network rules.
  • (b) Payer pays. A platform fee for paying through Populi is added to the amount the payer is charged and shown to the payer before they confirm. The School is credited the full amount it charged; the platform fee is paid by the payer to Populi and never forms part of the School’s funds. The platform fee is one rate on every payment method, including bank debits; it is a fee for use of the platform, not a surcharge for using a card.

In either case, fees are not refunded when a payment is later refunded. When a payment is charged back or returned, Populi returns its fee for that payment. Populi may set a minimum payment amount for each payment method. Populi may change the School’s fees with 30 days’ notice through the Services or by email, and sooner to pass through changes in network or Processor costs. The 90-day price notice and the no-refund provisions of the Terms do not apply to processing fees or to refunds to payers.

3. Payouts and Reserve

The School gives the Processor the bank account for payouts during the Processor’s onboarding. The School authorizes Populi to instruct the Processor to pay out the School’s available balance to that account on a schedule Populi sets, and agrees those instructions bind the School. Payouts are made net of fees, adjustments and any reserve. Populi may hold back a reserve in an amount it reasonably determines from the School’s volume, refund and chargeback history, delivery timing and risk, may change it on notice, and may apply it to any amount the School owes. The reserve is released 90 days after the School’s last payment, or later while disputes or investigations remain open. No interest accrues on held funds, and Populi does not guarantee that a payout arrives on a particular day. The Processor may separately withhold or delay settlement under its own terms.

4. Refunds, Chargebacks and Amounts Owed

The School decides and funds its own refunds; a refund may not exceed the amount the payer paid, less any platform fee or School service fee added to it. The School bears every chargeback, bank debit return, reversal and network fine on its payments, less the fee Populi returns under Section 2, and pays Populi a dispute fee for each chargeback or unauthorized bank debit return, and a returned payment fee for any other returned bank payment, such as for insufficient funds or a closed account, at the rates shown on its Populi Pay gateway settings page. These fees are not refunded if the School wins a dispute, and Populi may deduct them from the School’s balance. The School will respond to evidence requests by the deadline given. Populi may, but is not required to, compile evidence from the School’s data in the Services, such as enrollment, billing and payment records, to support a dispute response, and may submit that evidence on the School’s behalf. Doing so for one dispute does not oblige Populi to do so for another, and Populi has no liability for the outcome of any dispute. Any amount the School owes under these terms, including a negative balance and any amount the Processor recovers from Populi on the School’s account, is due on demand. Populi may set it off against payouts and the reserve, invoice it under Section 6 of the Terms, and suspend Populi Pay or payouts while it is unpaid.

5. Suspension

Populi may suspend the acceptance of payments, payouts or both, with or without notice, if it or the Processor suspects fraud or unlawful activity, the School’s verification is incomplete, the School is in breach of these terms or the Processor’s terms, amounts are overdue, or the Processor, a card network, a bank, a regulator or a court requires it. Populi will tell the School a suspension is in place, and why, where it is permitted to.

6. Liability

Populi’s obligation for Populi Pay is to transmit the School’s payments and payout instructions to the Processor accurately and record them in the Services. Section 10 of the Terms does not limit Populi’s obligation to pay the School funds the Processor has settled to it that are not subject to a reserve, hold or set-off. Populi is not liable for acts or omissions of the Processor, banks, card networks or payers, for declined or held payments, for losses from fraudulent payments, chargebacks or returns, or for the School’s own reconciliation. In addition to Section 9 of the Terms, the School will indemnify Populi against claims, fines, adjustments and costs arising from the School’s payments, its use of payer-pays mode, its breach of the Processor’s terms, and any amount the Processor recovers from Populi on the School’s account.

7. Termination and Changes

Populi may terminate Populi Pay with 30 days’ notice or immediately for breach, Processor action, or termination of the Terms. The school can terminate at any time. Amounts owed, the reserve and Sections 2, 3, 4 and 6 survive. Except as changed here, the Terms apply, including Idaho governing law.
